Lets any company selling stock to the public talk with possible investors early and hand regulators a private draft of its paperwork, steps now limited to a defined group of newer companies.
- Companies could talk with potential investors before or after filing registration papers
- Companies could give the Securities and Exchange Commission a private draft registration statement
- The private review covers first-time public offerings, first registrations and follow-on offerings
